Poldu.com – Legal Policies
1. Terms & Conditions
1.1 About these Terms
These Terms & Conditions ("Terms") govern your access to and use of the Poldu.com website, the Poldu Manufacturing Intelligent Management Software (cloud application, mobile/web apps and related services), and the Poldu hardware (production counters, gateways and accessories) (together, the "Services"). The Services are provided by Infoz Software Solution, [registered address, Mumbai, Maharashtra, India] ("Poldu", "we", "us", "our").
By accessing the website, booking a demo or Plant Audit, placing an order, registering as a partner, or using the Services, you agree to these Terms. If you accept on behalf of a company, you confirm you are authorised to bind that company. If you do not agree, please do not use the Services.
1.2 Who these Terms apply to
Customers (Manufacturing Companies): businesses that subscribe to Poldu software and/or purchase or rent hardware.
Authorised Users: employees, operators, supervisors and managers of a Customer who use the Services under the Customer's account.
Referral Partners: individuals or firms who introduce prospective customers to Poldu and do not sell, negotiate or support the product.
Sales Partners / Associates: individuals or firms appointed to market, sell, and where agreed, coordinate installation or support of Poldu.
Visitors: anyone browsing the website or using free tools such as the Loss Calculator or booking a 30-minute Plant Audit.
Sections 1.3 to 1.9 apply to everyone. Section 1.10 applies to Customers. Section 1.11 applies to Referral Partners and Sales Partners.
1.3 Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a contract under the Indian Contract Act, 1872.
You must provide accurate, complete and current information, and keep it updated.
You are responsible for all activity under your account and for keeping login credentials confidential. Notify us immediately of any unauthorised use.
Customers are responsible for creating, managing and removing their own Authorised Users and assigning access rights.
1.4 The Services
Poldu helps manufacturers track production, machine output, raw material, work-in-progress, quality, dispatch and related master data, with IoT-based counters and analytics/AI-assisted insights. Features, modules and bundles may differ by plan. We may improve, modify or discontinue features with reasonable notice where the change materially reduces core functionality.
1.5 Plans, fees and payment
Fees are as stated in the quotation, order form or plan page accepted by you. Current standard pricing for Indian customers may include a one-time setup fee and a recurring subscription fee per machine, per month. Pricing is subject to change for new orders; accepted orders are not affected until renewal.
Setup fee typically covers the production counter for each machine, gateway, installation, cloud software access, master data setup and online support, as itemised in your order.
All fees are exclusive of GST and other applicable taxes unless stated. You are responsible for applicable taxes.
Subscriptions are billed in advance [monthly/quarterly/annually] and renew automatically unless cancelled under Section 4.
Invoices are payable within [7/15] days. Delayed payment may attract interest at [1.5]% per month and may lead to suspension of access after notice.
Add-on machines, modules or users are billed at then-current rates or as agreed.
1.6 Hardware (counters, gateways, devices)
Unless your order states hardware is sold outright, devices are supplied for use during the active subscription and remain the property of Poldu [or: ownership transfers on full payment – select one].
You must keep devices at the agreed location, not tamper with, relocate, reverse-engineer, resell or connect them to unapproved systems, and provide stable power and, where required, internet connectivity.
You are responsible for loss, theft or damage caused by misuse, accidents, power surges, fire, flood or negligence. Repair or replacement may be chargeable.
On termination, you must return rented/supplied devices within [15] days in reasonable condition, failing which we may charge replacement cost.
Installation timelines depend on site readiness, logistics and third-party factors, and are estimates only.
1.7 Acceptable use
You agree not to: (a) use the Services unlawfully or to infringe others' rights; (b) share login credentials beyond your authorised users; (c) upload malware or attempt unauthorised access, scraping or load testing; (d) copy, resell, sublicense or create derivative products from the software; (e) misrepresent Poldu's features, pricing or your relationship with us; (f) enter knowingly false production or financial data to mislead others. We may suspend access for breach.
1.8 Intellectual property
The software, designs, dashboards, algorithms, reports formats, trademarks (including "Poldu"), content and documentation are owned by Infoz Software Solution or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services during your subscription for your internal business purposes. Customers retain ownership of their own business data ("Customer Data"). You grant us a licence to host, process and use Customer Data to provide and support the Services, and to use anonymised and aggregated data to improve the product and publish industry benchmarks, without identifying you.
1.9 Liability, warranty and general terms
The Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation, or specific productivity, savings, ROI or profit outcomes.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss (including loss of profit, production, orders, goodwill or data) arising from use of the Services.
Our total liability for any claim is limited to the fees you paid to us for the Services in the [3/12] months before the event giving rise to the claim.
You agree to indemnify us against claims arising from your breach of these Terms, misuse of the Services or violation of law.
Neither party is liable for delay or failure caused by events beyond reasonable control (force majeure), including power or internet outages, natural disasters, strikes, epidemics, or government action.
Confidentiality: each party will keep the other's non-public business information confidential and use it only for the purposes of the Services.
Termination: either party may terminate for material breach not cured within [15] days of notice. We may suspend or terminate immediately for unlawful use or non-payment after notice. On termination, access ends, outstanding fees become due, and Customer Data will be available for export for [30] days, after which it may be deleted.
Governing law and disputes: these Terms are governed by the laws of India. Parties will first try to resolve disputes amicably within 30 days. Unresolved disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by [mutual consent/Poldu], seat and venue Mumbai, language English. Courts at Mumbai have exclusive jurisdiction for interim relief and enforcement.
Changes: we may update these Terms by posting a revised version with a new date. Continued use after the effective date means acceptance. For material changes, we will notify Customers and Partners by email or in-app notice.
Entire agreement; severability; assignment: these Terms, with your order form or partner agreement, are the entire agreement. If any clause is unenforceable, the rest remains valid. You may not assign your rights without our written consent.
Notices: to [legal@poldu.com] and [registered address]. We may notify you at the email or phone registered on your account.
1.10 Additional terms for Customers (Manufacturing Companies)
Data accuracy: production, machine, material and dispatch reports depend on correct set-up, master data, device placement, connectivity and operator input. You are responsible for verifying outputs before making business, payroll, billing, statutory or compliance decisions.
Site readiness: you will provide access, power, network connectivity, safe working conditions and a nominated coordinator for installation and training.
Employee and operator data: you are responsible for lawful collection of operator and employee information entered into Poldu, and for informing your workforce as required by law.
Pilot / trial / 30-day plans: trial or device-free plans are for evaluation only, may have limited features, and convert to paid plans only when you confirm in writing.
Support: online support is provided during [business hours, Mon–Sat, 10:00–18:00 IST]. Response times are targets, not guarantees, unless an SLA is signed.
Reference: unless you object in writing, we may name your company as a customer and use non-confidential, non-financial case-study information.
1.11 Additional terms for Referral Partners and Sales Partners
Common terms
A Partner is an independent contractor, not an employee, agent, partner, joint venturer or franchisee of Poldu. A Partner cannot bind Poldu, sign contracts, give discounts, or make warranties, promises or claims about features, pricing, delivery or results beyond approved Poldu material.
Partners must comply with applicable law, including anti-bribery, anti-spam/telemarketing rules and data protection law, and must not engage in misleading, aggressive or unethical practices.
Partners must use Poldu's name, logo and marketing material only as provided or approved, and must stop on request or termination.
Partners must keep confidential all non-public pricing, product, customer and strategy information.
Partners are responsible for their own taxes, GST registration (where applicable), expenses and business costs. Poldu may deduct TDS or other taxes required by law.
Poldu may reject any lead, deal or order at its sole discretion (for example, credit, fit, conflict or compliance reasons). Poldu owns the customer relationship, contract and data once a Customer signs up.
Referral Partners
A Referral Partner introduces a prospective manufacturing company through the official referral form, link or code, or by email to [partners@poldu.com]. They do not negotiate, quote or support.
A referral is valid only if it is a new lead not already in Poldu's pipeline or customer base, registered before the first meaningful discussion, and valid for [90] days ("Protection Period"). If two partners claim one lead, the earlier registered lead prevails.
Commission: [30]% of the first-year subscription and setup fees actually received from the referred customer, excluding taxes, hardware pass-through costs, discounts and refunds. No commission on renewals unless agreed in writing.
Commission becomes payable after Poldu receives cleared payment and the refund window (Section 4) has lapsed, and is paid within [30] days after the end of the month of eligibility, with a valid invoice or payout details.
Sales Partners / Associates
A Sales Partner is authorised, within an agreed territory or segment, to promote, demo, and sell Poldu using Poldu's price list and approved discount limits, and, where agreed, to coordinate onboarding and first-level support.
Commission: [30]% of the first-year subscription and setup fees actually received from customers they close, plus [15]% of renewal subscription fees actually received for as long as the customer remains active, the Sales Partner remains in good standing, and any agreed service obligations to that customer continue to be met. Hardware pass-through costs, taxes, discounts and refunded amounts are excluded.
Territories are non-exclusive unless stated in a signed agreement. Minimum performance or activity targets may be set in the partner agreement.
Poldu may adjust or reverse commission for refunds, chargebacks, non-payment, cancelled orders, fraud or breach by the Partner.
On termination, commission continues only for deals closed before termination, according to the partner agreement, and subject to there being no breach.
Non-circumvention and non-solicitation: during the partnership and for [12] months after, Partners will not bypass Poldu to sell directly or through another provider to leads or customers they were introduced to through Poldu, nor sell a competing manufacturing-monitoring product to Poldu customers in a way that breaches confidentiality.
Either party may terminate the partnership with [30] days' notice, or immediately for breach, misrepresentation or unlawful conduct.
Where a signed Partner Agreement conflicts with this Section, the Partner Agreement prevails.

After termination, Customer Data is available for export for [30] days and then deleted or anonymised within [90] days, unless law requires longer retention. Backups are overwritten in the normal cycle.
Where required, cross-border transfers occur only to countries and under safeguards permitted by Indian law. For international customers, we apply comparable safeguards.
